Along with the collapse of the socialist system such as in the Soviet Union, Poland, etc., the discussion of corporate governance in transitory economies became popular. With the democratization of former socialist countries, and the introduction of the market economy, the problems of management authority establishment and governance are being discussed. In comparison with China, the introduction of the market economy under the reform and open policies while keeping the socialist system, and the problems of corporate governance due to the privatization of public companies are attracting a great deal of attention in recent years. As for the transition to the market economy in China, the attention is paid in recent years to the establishment of "modern enterprise system" which its content focuses on incorporated enterprises. With the reorganization of state-owned enterprises to private enterprises, the fact that the structure of ownership is pluralized, property rights are clarified, and managers are kept under closer observation, is an important problem of Chinese corporate governance. Since the 1978 reform, with the adjustment of the ruling structure within enterprises, in order to raise enterprise productivity, reforms like the decentralization and profit-sharing, and the separation of ownership and control, and the reorganization of incorporation have been carried out. However, an effective ruling system has not yet been established. "Insider control" problems are emerging, and the problems of inefficiency of stateowned enterprises are difficult to resolve. The outflow of state-owned property caused by the insider control of state-owned enterprises, is an institutional defect of the shifting economy. Mainly the presence of government in state-owned enterprises and the problem of soft budgeting, the absence of a supervising mechanism, and the importance of employees benefits are factors that can be mentioned. For the Chinese state-owned enterprises, the control of "insider control," and in order to resolve the problems of the reform process, the establishment of an effective corporate governance is an urgent task. The establishment of the corporate governance model implies the process of going through an institutional change. This institutional change, since it is dependent on historical path, would be difficult to implement just by imitating the system of a foreign country. The ideal for China would be to make the most out of the advantages of being a late starter in market economy, to assimilate the merits of the advanced countries organization systems, to develop simultaneously a stock market and a banking system in parallel, and to progress along its own path.
