• This study has focused on the inspection of minutes of the proceedings of board of directors. In this study I investigate the change of the law taht restricts the inspection of minutes of the proceedings of board of directors and examine the cases that deal with that issues. In the result obtained from the cases and the doctrines concerned, this study takes the view that permits the inspection of minutes of the proceedings of board of directors if the shareholders cannot exercise their rights without inspecting of minutes of the proceedings of board of directors.
