Japanese Commercial Law shall be amended in order to introduce American-style corporate governance to Japan. Main point is setting up three committees in Board of Directors and each committee must be consisted from majority independent directors. But, the setting up of such committees is under each company's option.Will this system work in Japan? How is it working in United States?By considering corporate governance historically in two countries, "Should-be-corporate-governance" system shall be reached.
