The globalization of markets, competition, and finance in recent years as well as the Asian financial crisis in 1997 have been predominant causes for the growing interest in corporate governance in Asia. The purpose of this paper is to examine the current conditions of the owner-ship structure and controls of listed companies in Hong Kong. These companies maintains significantly higher standards of corporate governance and, at the same time, have developed more sophisticated and adequate legal systems to protect property rights. Thus, they could weather the financial crisis with strength and confidence compared to companies in other Asian countries. A special emphasis will be focused on the dominant family ownership and controls which are very unique not only in Hong Kong but also in most of the Asian countries, except Japan. This paper concludes that the protection of the shareholder rights, especially the treatment of minority shareholders in those Asian countries, is an important issue that needs to be addressed. It is because such actions relate to the perception of Hong Kong as well as other Asian countries by international investors.
