The purpose of this study is to examine the state of corporate governance reform in South Korea. Emphasized are the issues faced in reform. The concern with corporate governance problems in Korean firms has been growing since the financial crisis of 1997. The central problem of corporate governance in Korean is the lack of a monitoring system by boards of directors and auditors. Problematical are the lack of oversight by shareholders, the expropriation of minority shareholders' interests by controlling shareholders/owner-managers, and the lack of managerial transparency. In order to solve these problems, an initiative has been instituted to reform corporate governance practices. The related laws and regulations have been adjusted to improve the nation's corporate governance system. So far, however, no significant improvement in performances is visible. This is manifest, although gradually the reform's reinforcement of minority shareholders' rights, the increased responsibility of controlling shareholders, amendments to boards of directors and audit committees, disclosures, etc. have successfully been achieved. During the five years since reforms began, there has been an increase in the profitability of listed firms. This is at least partially thought to be the result of the reform initiative.
