In contrast to Japanese companies struggling in economic downturns in recent years, many companies in the USA are enjoying favorable economic conditions for a long time. One of the keys for the strength of the American economy is the introduction of many new management techniques, such as "reengineering", "benchmarking", "TQM", and "6 ∂". However, the creation of learning organizations or transformation of corporate training and personnel development systems also played very important roles for management innovation in the USA, although little attention has been paid to that aspect of the American economy. In this paper, therefore, we focus on a development of learning organization theory and creation of learning organization in USA. In Section 2, the distinction between organization learning theory and learning organization theory is presented. In Section 3, features creating the learning organization and transformational process of the learning organization are described. Finally, some implications for Japanese companies and the research tasks of learning organization theory will be discussed.
