The purpose of the current study is to reconsider the changes of strategy in American companies from 1960's to 1980's. In the United States, one of the reasons why the boards of directors have been more active since 1960's is the growth of institutional investors. By and large, institutional investors are interested in maximizing the short-term value of their portfolio. Thus, institutional investors can use their investment clout to insist that a firm's management behave according to their interest. Such pressure have forced the management of a firm focus only on short-term investment, which failed in augmenting the international competitiveness of national economy.
