The purpose of this article is to investigate the governance structure which does not give any authority to the top management of public hospitals in order to carry responsibly out his mission, and to make several proposals which will help public hospitals out of managerial difficulties on the heels of transforming their governance structure. 90 per cent of public hospitals operate at a deficit in Japan. There , however, Are some reasons why they should be exempted from the managerial interrogation. First of all, public hospitals take over unprofitable business which private hospitals and practicing doctors do not undertake. Next, public hospitals have no authority to make any important decision. Thirdly, senior doctors not only examine patients but also do management works. Lastly, the government tightens the control over every hospital in the direction of cutting down medical expenses. Nevertheless, the surrounding conditions of public hospitals have suddenly Taken a new turn. Their owner, needless to say the local government get to wish that they will go into the black.
