Charge transfer instability' with structural chanse is studied with a simr>lesttwo-sites two-electrons model which allows exact treatment in the whole rangeof electron transfer eners>r T, on-site Coulomb enern>' U and the lattice stabili-zation eners>r .S'. The instabilitv takes r>lace when S overcomes T or U, the transi-tion being or the secona order vow s-r competition and the first order for s-vcompetition, with a critical point inside the T-U-S triangle. The excited state issubject to instability with even smaller values of .5. The effect of dirnensionalityon the nature of the transition is briefly discussed.
