概要

• In this paper, I would like to clarify the differences of corporate governance between Japanese and American corporatations. Firstly, the background of American corporations mainly from the view of the role of the board of directors will be examined. Secondly, I point out recent reforms of the institutional systems from the side of business law and the boards of directors of Japanese corporations. Thirdly, I investigate the essence of corporate governance from the perspective of the recovering Japanese management systems and adaption to world interconnectivity in the age of business globalization.
