Corporate ethics and governance : Introduction of the Best Practice into Conventional Japanese Corporations by appointing and developing New Key Players to ensure the compliance with Corporate ethics while giving an impression to foreign people that new type of Japanese are emerging. In the 80's, USA had made a comprehensive study on Japanese and German corporations and its surrounding educational systems and practices. The study had been jointly pursued by the trinity alliance of Universities, Corporations and Business Consultants to aim at strong "Corporate America". Among those outputs by this study are those best practices such as 'shareholders first', 'ideal corporate governance' and those other strategies defined by the name of 'best practices' in Japan. Now that the ball is thrown into Japanese court and it is therefore Corporate Japan's turn to show USA that Japanese corporations have evolved to realize new corporate philosophy for shareholders by creating shareowners value as the top priority. I am confident that the suggested three concepts of 1) CFO appointment at Japanese corporations, 2) institutionalizing Code of Business Conduct and its reinforcement by the appointment of Corporate Ethics officer and 3) introduction of Functional Controllers (Marketing and Supply Chain Controllers) whose close and direct report to non-executive Auditors are those positive responses to exemplify that Japanese corporations are seriously tackling with improvement of Corporate ethics and conducts.
