Discussions on corporate governance have intensified in advanced countries since the nineties. Corporate governance problems have derived chiefly from corporate scandals. The author, however, thinks that corporate governance problems refer not to the corporate governance system but to the manager. This is because the manager himself decides the right or wrong of the corporate governance system. If the corporate governance system could be organized as a sound, efficient managerial mechanism, corporate scandals would disappear and corporate competitiveness would be promoted.
