In any economy, power is indispensable for corporate management to achieve management goals. On the other hand, power could be harmful for organizations. Thus, the nature of power should be considered objectively apart from ethical aspects. This paper will first attempt to reveal the source of power and its invocation form. Then, the paper will discuss its merits and demerits and demonstrate how the authority, leadership, and power are related one another. It is often observed that ethics is powerless to prevent evils from occurring, because of side-effects of power. From the view of corporate governance, this paper discusses in detail how corporate evils cause by power can be controlled. The roles of stock exchanges, the Securities and Exchange Law, and globalization of investment are to contribute to corporate governance.
