This paper examines two types of tokoro-clauses, one as a complement of the verb and the other as an adnominal modifier. It is argued that the structures of these two types of tokoro-clauses are parallel to those of the two types of pseudo-relatives in the Romance languages. In both structures, an initial NP is raised from its νP internal position to the clausal edge. The difference between the two cases is derived from the mode of projection proposed by Chomsky (2005), i.e., whether the moved element or the target is to be the label. It is also shown that a novel characterization of tokoro as a "light noun" under the proposed structure of the tokoro-clause offers a natural account for the peculiar property of thematic sharing in the tokoro-clauses.
