In Japan, a director isn't prohibited to serve as a director in other corporations, unless he violates the antitrust law. Therefore some executive directors concurrently hold other directorship infinitely. Such a director, however, may neglect his duty of care or loyalty that is required of him in the corporation. In France, to make a director concentrate. on his duty in the corporation, no natural person shall concurrently hold more than five directorship of limited companies having their registered office on French soil (art. 225-21). This thesis aims to, firstly, examine the transition of the purposes of this article, secondly, to explain the interpretations of this article, thirdly, to introduce that France has "double limitation". And finally, I'm going to consider the suggestion from French commercial code to Japanese law about holding directorship concurrently.
