Under the present circumstances of radical changes in social and economic environment, private universities and colleges in Japan are required to undergo bold reforms. In this context, the governance of higher education institutions will bear significant implications. This paper tries to examine the structure of governance focusing upon the interplay among four foci of power-Board of Trustees, Board of Councilors. the President of the institution and Faculty Council-by analyzing the contents of bylaws. For this purpose three institutions. each representing different types of private institutions. were selected. This analysis revealed the following : the structure of governance from the perspective above can be divided roughly into two types, one based on faculty-participation and the other inclined towards strong management. The difference along this axis is most evident in election procedures of President, Trustees and Councilors.
