The Grunder as the legal concept is the subject of juridical relations at the time of the incorporation, and the Grunder in the concrete form is the signer of the incorporation articles. (Cf. Legal Concept of the "Grunder" of Company, The Journal of Law and Politics, Vol. X, No. 3,p. 151.) From this point of view, the following problems are treated. 1. On the time of becoming Grunder-of the signature of the articles. The signature may be made on or after the preparation of the articles, because the signature presupposes the preparation of the articles. And that the signature is understood as the requirement for becoming Grunder rests on the basis of necessary for defining clearly the subject of juridical relations at the time of the incorporation, so that the time of the signature-of becoming Grunder-must be define by the time of the beginning of the relations to the applicants for shares i. e. by the time of preparetion of the paper for shares (in the case of Sukzessivgrundung). And in the case of Simultangrundung, because of no relations above-mentioned, the signature may be defined by the time of the inspection of the courts (in §173 of Japanese Corporation Act). 2. On the effect of the contracts by the intended Grunder before the signature. Such the contracts are the contracts with the Rechtsbedingung that the intended Grunder should sign the articles i. e. become Grunder, and become valid by the compliance with the Rechtsbedingung. Therefore, this theory is applicable to the contract of Grunder subscription of shares and that relating to the qualifizierte Grundung, but not to that of the applicants subscription because it must be made by the application paper for shares and the compliance with the Rechtsbedingung precedes the preparation of that paper. 3. On the Grunder subscription for shares. That the signature of the articles is the requirement for becoming Grunder, as above-mentioned, rests on the basis of necessary for defining clearly the subject of juridical relations at the time of the incorporation, while the Grunder subscription is the requirement for contribution to the company and has no relation to the above-mentioned necessity. The Grunder subscription, therefore, is not necessary for the requirement for becoming Grunder.
