This paper examines the reasons why managers have social responsibility with reference to the Friedman's theory. It points out several contradictions in the discussions of corporate social responsibility (CSR) and poses two questions from the view points of private ownership and "social benefits". First, from the viewpoint of private ownership, is the stockholder theory consistent with the stakeholder theory? Second, could the stockholder theory encourage the pursuit of social benefits? Given the validity of Friedman's theory, corporate management imposes a fiduciary duty on managers; this paper focuses on conflicts between the two theories of a corporate ownership and social benefits. Under his theory on corporate management stakeholder interests as recognized by stakeholder theory are not always satisfied, though; In order to justify the Friedman's theory, the logic which justifies the system of private corporation should be legally and ethically restructed.
