Our major concern is to investigate the management strategies with respect to the organizational structure and management control systems among American, European and Japanese MNCs. We find that American MNCs have developed the most complicated organizational structure, and that they have "top-down" conntrol systems which allow the least autonomy to their foreign subsidiaries. The European MNCs have established the highly personalized "mother-daughter" relationship between Continental European head office and subsidiaries. In this system, they have adopted the "bottom-up" control mechanism in which the sub sidiaries enjoy their autonomy to the head quarter. Due to the shortest experiences in overseas operations, the organizational structure of Japanese MNCs are broadly characterized by the international division in which much centralized control is applied. However, the organizational structure and its control systems vary with the size of firm, age of overseas operations, nature of industry, nationality of the firm, or even government regulations. Thus, we conclude that the optimal organizational structure and management control mechanism should be determined by the consideration of (pecuuliar) growth and profit of the company in order to establish the efficiency and effectiveness of the organization. Thus, further studies to find out the optimal organizational structure and control mechanism are expected.
