Former socialist countries are in a process of transition to a capitalist system. While their shift on the level of macroeconomic policies is nearly complete, reform at the corporate level is today's challenge. Accordingly, attention is focusing on how corporate governance will take shape in these countries. The platform for this study on the present structure of corporate governance is a comparative analysis of the structure of corporate governance in state-run enterprises under former socialist regimes. The study spotlights three countries: Czech, Hungary, and Russia. The heads of enterprises and the state have wielded considerable authority in Czech. While enterprise heads and the state have been similarly powerful in Russia, workers in that country have also received consideration. And in Hungary, where reform has made more progress, the heads of entities have wielded extensive power but the rights of workers have also been recognized. Given that such traditions in each country are reflected in the emerging structure of its corporate governance, the position of Czech workers is weak while that of their Russian counterparts is conversely strong, and enterprise heads wield considerable power in Hungary.
