The complex viscosity η^* of a dilutely dispersed system of spherical cells with an elastic membrane is calculated theoretically as η^*/η=(Γ-8/2cΓ')/(Γ+cΓ'), where η is the viscosity of the medium, c is the volume concentration of the cells, Γ and Γ' are the function of the frequency, the ratio δ of the thickness of the membrane to the radius of the cell, the shear and the bulk moduli of the membrane, the inner cell region and of the medium. Assuming material incompressibility, the frequency dependence of the complex intrinsic viscosity [η^*] (=lim__<c→o> (η^*-η)/ηc) is obtained by numerical calculations, and the four relaxation times and amplitudes are given for some values of h and δ, where h=η/η' and η' the viscosity of the inner cell region.
