Statistical mechanical theory of non-equilibrium systems is developed on the basis of the generalized phase space method and the damping theory. The phase space method is extended to include spin systems by introducing a spin coherent state. Interrelations between the usual form of the non-Markoffian and the new time-convolutionless master equations are clarified. A method of the nonlinear Langevin equation is also developed and the nonlinear fluctuation-dissipation theorem is obtained. These methods are illustrated by simple applications to the relaxation phenomena.
