A Landau type mean-field theory for spin-glasses is presented, considering a gradual condensation of the localized modes associated with the eigenvalue spectrum of the random exchange interaction. The susceptibility and the critical field (H-T phase diagram) depending on the observation time are calculated. These results provide a unified picture of spin-glass transition observed in experiments.
